QuickBooks Online MCP License Agreement

Effective Date: August 20, 2026

This QBO MCP License Agreement ("Agreement") governs use of the QuickBooks Online MCP connector and related software, services, and documentation provided by Tidal AIBI, LLC ("Licensor").

Tidal AIBI, LLC maintains all rights, title, and interest in and to all QBO MCP code. Customer is granted a limited right to use the code only for Customer's internal business use.

1. Ownership

The QBO MCP software, source code, object code, architecture, workflows, and related intellectual property are and remain the sole property of Tidal AIBI, LLC. No ownership rights are transferred to Customer.

2. License Grant

Subject to this Agreement, Licensor grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use QBO MCP solely for Customer's internal business operations.

3. Restrictions

No resale, distribution, or sublicensing of QBO MCP to any third party.
No use of QBO MCP to provide managed services, white-label services, or service bureau offerings.
No reverse engineering, decompiling, or derivative works except where prohibited by applicable law.
No removal or modification of copyright, trademark, or proprietary notices.

4. Customer Data

Customer retains ownership of Customer data. Customer authorizes Licensor to process data only as needed to provide and secure the QBO MCP service.

5. Termination

Licensor may suspend or terminate this license for breach of this Agreement. Upon termination, Customer must stop using QBO MCP and remove all deployed copies and credentials associated with the service.

6. No Implied Rights

All rights not expressly granted are reserved by Tidal AIBI, LLC.
